Reseller Agreement

This Engagement Form, including the attached Terms and Conditions (“Terms”) constitutes the Reseller Agreement (“Agreement”) between the parties set out in Parts 1 and 2 below.

Unless otherwise defined herein, capitalised words and phrases shall have the meanings prescribed to them in the Terms that form part of this Agreement.

Part 3 - Background

A: The Company is the owner and developer of the Software (defined below) marketed under the brand SMB Solutions.

B: The Reseller (as described above) has substantial marketing experience in the Territory.

C: The Company wishes to grant non-exclusive rights to the Reseller to market, promote, distribute and sell the Software of the Company within the Territory and the Reseller has agreed to market, promote, distribute and sell the Software throughout the Territory.

D: The parties acknowledge that the Company may, in its absolute discretion, enter into reseller agreements, licenses or grant distribution rights with entities other than the Reseller.

E: The Company and the Reseller will participate together in developing business opportunities for the installation, marketing and promotion of the Software.

F: The Company has offered to appoint the Reseller as the non-exclusive reseller of the Software, and the Reseller has accepted the Company’s offer on the terms and conditions described in this Agreement, and any future amendments to this Agreement.

G: This Agreement is intended to be legally binding, and the parties agree to give effect to the arrangements contemplated by it.

Part 6 - Getting Started

This Engagement Form, together with the attached Terms and Conditions constitutes the Agreement between the Company and the Reseller.

By signing this Agreement, electronically or otherwise, you acknowledge and agree that you are entering into a legally binding agreement with the Company. Please ensure that you have read and understood the Agreement carefully before signing. This Agreement shall immediately come into effect once signed by all parties.
